Different ESG committees according to company size, KOSPI listed companies 15% VS assets 2 trillion↑ 55%

-Reporter Moon Hong-cheol

ESG (environmental, social, and governance) has emerged as a management topic, but the temperature difference is large depending on the size of the company.

Of the 820 companies listed on the KOSPI, only 15% had an ESG committee under the board of directors. However, more than half of KOSPI listed companies (169) with assets of 2 trillion won or more have an ESG committee.

According to the CEO Score on the 20th, as a result of a survey on the establishment of ESG committees under the board of directors of 820 companies of all KOSPI listed companies, 123 companies (15%) had established or reorganized ESG committees. Of these, 97 companies newly established ESG committees and 26 companies reorganized existing committees to fit ESG.

Most of these companies have established or reorganized their ESG committees this year. In the first quarter of 2021, 30 companies, 53 in the second quarter, and 24 in the third quarter, 107 companies set up ESG committees this year alone. Only 16 have established ESG committees before this year.

Looking at the status of the ESG committee members, there were 16 companies in which all members were outside directors. 71 companies included a CEO, and 36 companies included executive directors and other non-executive directors instead of the CEO.

Most of the ESG committee chairpersons were outside directors. 98 companies appointed an outside director as the chair of the ESG committee, 5 CEOs, 4 inside directors, and 16 other companies scheduled to appoint a chairperson or whose chairperson is unknown.

By industry, the holding industry showed the largest number of establishments and reorganizations of ESG committees (21 places). Of the holding companies, 18 were newly established and 3 were reorganized. The second largest was the service sector, with 10 new establishments and 1 reorganization. In the petrochemical industry, all 10 companies were newly established.

KOSPI-listed companies with assets of 2 trillion won or more accounted for more than half of them. Of the 169 KOSPI-listed companies with assets of 2 trillion won or more, 93 (55%) established or reorganized the ESG committee. Among them, 71 companies newly established ESG committees and 22 companies reorganized existing committees to fit ESG.

Most of the KOSPI listed companies with assets of 2 trillion won or more also established or reorganized the ESG committee this year. In the first quarter of 2021, 23 companies, 36 in the second quarter, and 19 in the third quarter, 78 companies set up ESG committees this year alone. Only 15 have established ESG committees before this year.

Looking at the status of ESG committee members of KOSPI-listed companies with assets of 2 trillion won or more, there were 14 companies in which all members were outside directors. 59 companies have a CEO, and 20 companies have executive directors and other non-executive directors instead of the CEO.

Among the members of the ESG committee, eight companies included the owner family. Yang Hong-seok, President of Daishin Securities, GS E&C Chairman Huh Jin-soo, GS Caltex Board of Directors Chairman Kim Beom-su, Kakao Board of Directors Chairman Jo Hyun-beom, Hankook Tire & Technology President Cho Hyun-beom, SK Rent-a-car Choi Seong-hwan SK Networks business general manager Kim Jung-soo Samyang Foods general president Sung Ki-hak Youngone Trading Chairman Sung Rae-eun Seong Rae-eun President Youngone Trading Holdings and others were members of the ESG committee. Among them, Yang Hong-seok, president of Daishin Securities, Kim Beom-soo, chairman of Kakao's board of directors, and Kim Jeong-soo, general president of Samyang Foods, served as the ESG committee chairman.

In addition, in the case of S-Oil, Doosan, Doosan Heavy Industries & Construction, and Hyundai Marine & Marine Engineering, an ESG committee directly under the CEO was established and operated in-house, although it is not a committee under the board of directors. NH Investment & Securities and BGF Retail set up ESG-related committees within the group and operate in the form of an ESG organization for each affiliate.

Meanwhile, the Financial Services Commission is pushing for a plan to mandate sustainability management reports including environmental (E) and social (S) information for KOSPI listed companies to create a foundation for ESG responsible investment. It plans to apply to companies of a certain size or larger by 2025, and to all KOSPI listed companies from 2030.
