상법 개정에 발묶인 신투자..상장사 20% “법적 검토에 주요 결정 보류·취소”

브레이크뉴스 정민우 기자= 이사의 충실의무 확대 등을 골자로 한 개정 상법이 시행된 지 1년을 맞이한 가운데, 국내 상장기업들의 경영환경 전반에 상당한 변화가 나타나고 있는 것으로 조사됐다. 

 

사내 검토 절차가 강화되고 외부 자문이 확대되는 등 긍정적인 변화가 있는 반면, 소송 우려로 인해 주요 의사결정이 지연되거나 보류되는 부작용도 만만치 않은 것으로 나타났다.

 

13일 대한상공회의소에 따르면 상장기업 300개사를 대상으로 실시한 ‘상법개정 1년, 경영환경 변화와 제도 안착을 위한 지원과제 조사’ 결과, 응답 기업의 84.3%가 상법 개정 이후 이사회 운영 방식에 변화가 생겼다고 답했다. 이는 이사의 충실의무 대상이 기존 ‘회사’에서 ‘회사 및 주주’로 확대된 데 따른 직접적인 영향으로 풀이된다.

 

구체적인 이사회 운영 변화로는 ‘법무·준법팀 사전 검토 등 사내 점검 절차 신설·강화’가 47.0%로 가장 많았다. 이어 ‘외부 전문가의 법률·회계 등 자문 확대’ 45.7%, ‘이사별 찬반의견 등 이사회 의사록 상세 작성’이 43.7%, ‘이사회 전 안건 사전 배포 및 검토 의견 제출 절차 도입·강화’ 39.7% 순이었다.

 

이러한 변화에 대해 기업의 39.6%는 “의사결정의 책임성이 제고되고 지배구조 투명성이 개선되는 등 긍정적 영향이 있다”고 평가했다. 

 

하지만, “컴플라이언스 비용 증가, 의사결정 지연 등 기업의 부담이 커졌다”는 응답도 22.4%에 달해 현장의 온도 차를 드러냈다.

 

기업들이 느끼는 법적 리스크에 대한 부담은 상당한 수준이었다. 상장기업의 과반(53.7%)은 이사충실의무 확대 시행 이후 주주대표소송이나 손해배상청구 등 소송 우려가 커졌다고 답했다. 우려가 줄었다는 응답은 6.0%에 불과했다.

 

이 같은 소송 리스크는 기업의 과감한 투자 발목을 잡고 있는 것으로 확인됐다. 응답 기업의 21.7%는 법적 검토 강화로 인해 주요 의사결정이 지연·보류·취소된 경험이 있다고 답했다. 

이로 인해 차질을 빚은 의사결정 중에는 신사업 및 M&A 등 신규 투자와 사업 진출 관련 사안이 30.8%로 가장 높은 비중을 차지했다. 이어 △재무·자본 조달(18.5%) △임원 선임·보수(16.9%) △자산 취득·처분(15.4%) 등이었다.

 

지난해부터 단계적으로 시행 중인 상법 개정안에 대한 기업들의 대응은 현장에서 여전히 진행 중인 것으로 나타났다.

 

내년 1월 시행을 앞둔 전자주주총회 의무화의 경우, 적용 대상인 자산 2조 원 이상 상장사 가운데 시스템 구축을 완료했다고 답한 기업은 16.0%에 그쳤다. 

 

반면, 내부 검토 중이나 구체적인 조치에 착수하기 전이라고 답한 기업이 34.0%로 가장 많았으며, 정관만 개정하고 운영 시스템 정비에는 미착수했다는 기업이 26.0%, 플랫폼 선정과 보안 대응체계를 검토하며 구축 중인 기업이 24.0%로 집계됐다.

 

내년 7월 말까지 독립이사 선임 비율 요건을 기존 4분의 1에서 3분의 1 이상으로 상향해야 하는 자산 1000억 원 이상 2조 원 미만 상장사의 경우, 이미 요건을 충족한 47.2%를 제외한 나머지 52.8%의 기업이 후보자 선정 작업을 진행하고 있었다. 

이 중 내부 검토 단계로 후보자를 물색하기 전인 기업이 24.1%, 후보자 물색에 난항을 겪고 있는 기업이 11.1%, 후보자 선정을 완료해 차기 주총 상정을 앞둔 기업이 17.6%였다.

 

이미 즉시 시행에 들어간 자사주 소각 의무화와 관련해서는 대상 기업의 64.9%가 아직 대응 방안을 고심 중이라고 답했으며, 소각이나 처분 계획 승인을 완료한 기업은 35.1%였다. 

 

자사주 소각 의무화가 미친 영향으로는 M&A 대응이나 경영권 방어 등 자사주 활용 전략 변경이 24.0%로 가장 높았고, 주주환원 정책의 명확한 수립이 21.1%, 매년 주총 승인 절차가 추가되는 실무적 부담 가중이 17.0% 등이었다.

 

기업들은 새로운 상법 체계가 시장에 안정적으로 안착하기 위해서는 정부 차원의 정교한 정책적 보완이 시급하다고 입을 모았다.

 

가장 시급한 과제로는 노조의 회사이익 배분 요구에 대한 판단 등 이사의 충실의무 가이드라인의 구체성을 보완해달라는 목소리가 37.3%로 가장 컸다. 기업들이 정당한 경영 활동 과정에서 소송에 휘말리지 않도록 경영판단의 원칙을 명문화해달라는 의견이 20.3%로 뒤를 이었으며, 현장 실무자를 위한 법률 및 컴플라이언스 교육 지원에 대한 요구도 12.7%를 기록했다.

 

최은락 대한상공회의소 조사본부장은 “상법 개정 이후 지난 1년간 기업들은 이사회 운영방식을 바꾸며 제도 준수에 힘써 왔다”며 “제도가 현장에 안착하려면 기업의 노력뿐 아니라 현장사례를 반영한 구체적인 가이드라인 마련과 실무 부담을 덜어주는 현장 밀착형 정책 지원이 뒷받침될 필요가 있다”고 말했다.
