HD현대오일뱅크가 일본 정유업체 코스모오일과 합작해 만든 자회사 HD현대코스모를 100% 자회사로 인수·합병한다.
HD현대오일뱅크(대표이사 주영민)는 석유화학 기초 원료인 방향족(BTX) 제품을 생산하는 자회사 HD현대코스모의 지분을 전량 인수한다고 11월 1일 밝혔다. 이를 위해 10월 31일 일본 코스모오일과 ‘HD현대코스모 지분 인수 계약’을 체결했다.
HD현대코스모는 지난 2009년 HD현대오일뱅크와 日코스모오일이 50%씩 출자해 설립된 합작회사로 설립 목적 상 석유화학제품의 원료인 PX(파라자일렌)을 주로 생산해왔다. HD현대오일뱅크는 日코스모오일이 보유한 HD현대코스모 지분을 모두 인수한 후 HD현대코스모를 흡수 합병하는 절차까지 밟을 예정이다.
이번 지분 인수로 생산 제품에 대한 제약이 사라져 특수 등경유, 고품질 휘발유 등 시장 시황에 따라 수익성 높은 제품을 생산할 수 있게 됐다. HD현대오일뱅크는 이를 통해 정유, 석유화학 간 시너지를 극대화하겠다는 포석이다.
HD현대오일뱅크와 코스모오일은 이날 미래 신사업을 위해 협력하는 업무협약도 체결했다. 지속가능항공유(SAF), 순환 납사, 열분해유 등 미래 에너지 사업과 윤활유, 탄소 포집·저장·활용(CCUS) 등의 분야에서 협력한다는 내용이다.
앞서 HD현대오일뱅크는 11월 1일 HD현대코스모 지분을 취득, 최종적으로 지분 100%를 취득하겠다고 공시했다. 합병 기일은 오는 12월 30일이다.
주영민 HD현대오일뱅크 대표이사는 “이번 인수 계약 체결을 통해 더욱 효율적이고 수익성 높은 공정 운영이 가능해졌다”며 “정유와 석유화학의 유기적인 결합을 통해 경쟁력을 제고할 것”이라고 밝혔다.

HD Hyundai Oil Bank will acquire and merge its wholly owned subsidiary HD Hyundai Cosmo, a joint venture with Japanese refiner Cosmo Oil.
On Nov. 1, HD Hyundai Oil Bank (CEO Joo Young-min) announced that it will acquire all shares of HD Hyundai Cosmo, a subsidiary that produces aromatics (BTX) products, a basic raw material for petrochemicals. To this end, the company signed an agreement with Japan's Cosmo Oil on Oct. 31 to acquire a stake in HD Hyundai Cosmo.
HD Hyundai Cosmo was established in 2009 as a 50/50 joint venture between HD Hyundai Oil Bank and Nippon Cosmo Oil and has been producing PX (paraxylene), a raw material for petrochemical products, since its establishment. HD Hyundai Oil Bank will acquire all of the shares of HD Hyundai Cosmo held by Nippon Cosmo Oil, and will then proceed with the process of merging HD Hyundai Cosmo.
The acquisition will remove restrictions on the products it produces, enabling it to produce profitable products such as specialty kerosene and high-quality gasoline depending on market conditions. This is a step toward maximizing synergies between refining and petrochemicals.
HD Hyundai Oil Bank and Cosmo Oil also signed a business agreement to collaborate on future new businesses. They will cooperate in future energy businesses such as sustainable aviation fuel (SAF), circular lead yarn, and pyrolysis oil, as well as lubricants and carbon capture, storage, and utilization (CCUS).
Earlier, HD Hyundai Oilbank announced on November 1 that it would acquire a stake in HD Hyundai Cosmo, eventually acquiring 100% of the company. The merger is scheduled to take place on December 30th.
“With the signing of this acquisition agreement, we will be able to operate more efficient and profitable processes,” said Joo Young-min, CEO of HD Hyundai Oil Bank. ”We will enhance our competitiveness through the organic combination of refining and petrochemicals.”
