본 서한을 통해, 저를 포함한 총 9명의 구성원이 몰타
St. Paul Bay 라이온스 클럽의 가입 또는 인수 진행을 하지 않기로 공동 결정하였으며,
이에 따라 현재 진행 중인 재활성화 및 회원 모집 절차에서도
철회하고자 함을 공식적으로 알려드립니다.
본 결정은 클럽의 설립 및 운영에 수반되는
운영적, 법적, 재정적, 구조적 요건에 대한 면밀한 내부 검토를 바탕으로 이루어졌습니다.
내부 논의 및 초기 검토
금일, St. Paul Bay 프로젝트와 관련하여 예정된 Secretary, Treasurer 및
Chairperson 그룹 간 논의가 진행되었습니다.
그 결과, 저를 포함한 총 9명의 구성원은 은행 계좌 및 등록된 VO(자원봉사단체)가
존재하지 않는 클럽에 대해서는 인수 또는 가입을 진행하지 않기로 공동 합의하였습니다.
일반적으로 적절한 인수 절차는 기존 은행 계좌의 서명권자를 신규 이사회로 변경하고,
VO 및 이사회 구성 변경을 통해 행정적 권한을 공식적으로 이전하는 방식으로 이루어집니다.
그러나 본 건의 경우, 사실상 신규 클럽을 처음부터 설립하는 것과
유사한 상황으로 판단되며, 이에 따라 훨씬 높은 수준의 준비와 운영 역량이 요구되는 것으로 보입니다.
전문 자문 및 규정 이해
실사 과정의 일환으로, 저희는 몰타의 공인 민사 변호사 및 공증인과 상담을 진행하여
클럽 설립 및 운영에 필요한 법적·규제적 요건을 확인하였습니다.
해당 자문에 따르면, 다음과 같은 필수 요건이 포함되는 것으로 이해하고 있습니다:
VO 법적 등록 및 관련 규정 준수 의무
KYC/AML 요건을 충족하는 은행 계좌 개설
변호사 및/또는 공증인을 통한 법적 거버넌스 인증
연간 보고 및 규정 준수를 위한 공인 회계사 선임
지속적인 운영 비용이 수반되는 안정적인 회의 장소 확보
이러한 요건들이 몰타 법률에 따른 표준적인 규정임을 충분히 인지하고 있습니다.
2. 운영 및 재정적 고려
또한, 클럽의 설립 및 지속적인 운영에는 법률 및 공증 비용, VO 등록 비용,
회계 및 규정 준수 비용, 은행 계좌 개설 비용, 그리고 장소 관련 비용 등을 포함하여
연간 최소 EUR 2,000 이상의 재정적 부담이 발생할 것으로 이해하고 있습니다.
이러한 요건의 중요성에 충분히 공감하고 있으나,
현재 상황에서 저희 그룹이 감당하기에는 현실적인 한계를 초과하는 수준이라고 판단하였습니다.
3. 운영 구조에 대한 평가
저희는 전문 자문과 내부 검토를 바탕으로, 법적·재정적·운영적 기반이 충분히 확립되지 않은 상태에서
회원 중심으로 운영을 시작하는 방식은 상당한 실무적 어려움을 수반할 수 있다고 판단하고 있습니다.
장기적이고 지속 가능한 운영을 위해서는
이러한 기반이 선행적으로 안정적으로 구축되는 것이 필수적이라고 생각합니다.
4. 결정
Secretary 및 Treasurer를 포함한 내부 논의와 상기 모든 사항을 종합적으로
고려한 결과, 다음과 같이 결정하였음을 알려드립니다:
현 시점에서 St. Paul Bay 라이온스 클럽 가입을 진행하지 않습니다
재활성화 및 회원 모집 절차에서 철회합니다
본 결정은 현재의 운영 및 규제 환경에 대한 책임 있는 판단에 따른 것입니다.
5. 회의 취소
본 결정에 따라, 기존에 28일로 예정되어 있던 회의는 취소되었음을 함께 알려드립니다.

시간 낭비에 비용까지 상당히 떠안게 될 이런 껍데기만 클럽이라면
차리리 시간을 두고 차근히 변호사, 회계사 모두 동참하는 신흥 클럽이 유리하다는 판단
결국 정리를 하는 것이 개인적 부담이 없을 것이라고 판단하게 된 경위다.
Dear District Governor / Lions Leadership Team,
I hope this message finds you well.
We are writing to formally confirm that eight members
and I have collectively decided not to proceed with joining or acquiring the
St. Paul Bay Lions Club in Malta,
and therefore to withdraw from further participation in the current reactivation and recruitment initiative.
This decision follows careful internal consideration
and a comprehensive review of the operational, legal, financial,
and structural requirements involved in establishing and maintaining the club.
1. Internal Discussion and Initial Review
Today, discussions were held among the individuals provisionally assigned as Secretary, Treasurer, and the Chairperson group regarding the St. Paul Bay initiative.
As a result, a collective agreement was reached by nine members (including myself) not to proceed with the acquisition of or membership in any club that does not have a bank account and a registered VO.
In general, proper handover procedures would include updating bank account signatories to new board members and transferring all administrative authority through official changes in VO and board composition. However, in this case, the situation appears comparable to establishing a new club from the ground up, requiring a significantly higher level of preparation and operational capacity.
2. Professional Consultations and Compliance Understanding
As part of our due diligence, we consulted a licensed Maltese civil lawyer and notary to better understand the legal and regulatory framework required for establishing and operating the club.
Based on these consultations, we understand that the process includes mandatory requirements such as:
VO legal registration and compliance obligations
Bank account setup with full KYC/AML compliance
Legal governance certification by a lawyer and/or notary
Appointment of a qualified accountant for annual reporting and compliance
Secured and sustainable meeting venue with ongoing operational costs
We fully recognise that these requirements reflect standard legal and regulatory obligations under Maltese law.
3. Operational and Financial Considerations
We also understand that the establishment and continued operation of the club would require significant financial and structural commitments, including legal and notarial fees, VO registration costs, accounting and compliance obligations, banking setup, and venue-related expenses estimated at a minimum of approximately EUR 2,000 annually or more.
While we appreciate the importance of these requirements, they exceed the current feasible capacity of our group under present conditions.
4. Assessment of Operational Structure
We respectfully note that, based on our understanding and professional advice, a membership-led approach without a fully established legal, financial, and operational infrastructure presents considerable practical challenges.
We believe that a stable and compliant foundation in these areas is essential before sustainable membership expansion and long-term operational viability.
5. Decision
Following internal discussions among our appointed Secretary and Treasurer, and after careful consideration of all factors outlined above, we have collectively resolved that:
We are not in a position to proceed with membership in the St. Paul Bay Lions Club at this time
We will therefore withdraw from participation in the current reactivation and recruitment process
This decision reflects a responsible assessment of current operational and regulatory realities
6. Meeting Cancellation
In line with this decision, we also confirm that the meeting previously scheduled for the 28th has been cancelled.

We would like to express our sincere appreciation for the opportunity to engage with this initiative and for the efforts made in its development.
We respectfully request that our withdrawal be formally acknowledged. We remain open to maintaining positive relations moving forward, should circumstances change in the future.

本決定は、クラブの設立および運営に伴う運営面・法務面・財務面・

内部協議および初期検討
本日、St. Paul Bayプロジェクトに関し、
暫定的にSecretary、Treasurer、およびChairpersonとして
想定されていたメンバー間で協議を行いました。
その結果、銀行口座および登録済みVO
（ボランタリー団体）を有していないクラブについては、
引き継ぎまたは加入を行わないことで、私を含む9名全員の合意に至りました。
通常、適切な引き継ぎは、既存の銀行口座の署名権者を新しい理事会メンバーへ変更し、
VOおよび理事構成の正式変更を通じて管理権限を移転する形で行われます。
しかしながら本件においては、実質的に新規クラブを一から設立するのに近い状況であり、
より高い準備および運営能力が求められると判断しております。
専門家への相談および法令理解
デューデリジェンスの一環として、
マルタの認可を受けた民事弁護士および公証人に相談し、
クラブ設立および運営に必要な法的・規制上の枠組みを確認いたしました。
その結果、以下の要件が必須であると理解しております：
VOの法的登録および関連コンプライアンス義務
KYC/AML要件を満たす銀行口座の開設
弁護士および／または公証人によるガバナンス認証
年次報告およびコンプライアンスのための公認会計士の任命
継続的な運営費用を伴う安定した会議場所の確保
これらがマルタ法に基づく標準的な要件であることは十分認識しております。
運営および財務面での考慮
また、クラブの設立および継続運営には、
法務費用、公証費用、VO登録費用、会計およびコンプライアンス費用、
銀行関連費用、会場費などを含め、
年間最低でも約2,000ユーロ以上の費用が発生すると理解しております。
これらの重要性は十分認識しておりますが、
現時点において当グループの体制では対応が困難であると判断いたしました。
運営体制に関する見解
法的・財務的・運営的基盤が十分に整備されていない状態での会員主導型運営は、
実務上大きな課題を伴う可能性があると考えております。
持続可能で安定した運営のためには、
これらの基盤が事前に確立されていることが不可欠であると認識しております。
決定事項
SecretaryおよびTreasurerを含む内部協議の結果、以下の通り決定いたしました：
現時点ではSt. Paul Bayライオンズクラブへの参加を見送ります
再活性化および会員募集プロセスから辞退いたします
本決定は現状の運営および規制環境に対する合理的判断に基づくものです
会議の中止
本決定に伴い、28日に予定されていた会議は中止とさせていただきます。
