The Korean Administrative Society (KACS) ruled the regular general meeting legal, but dismissed allegations of violations of the Articles of Incorporation and accounting standards.
The Korean Administrative Society refuted the claims that the regular general meeting of members was legally convened and prepared for, and that the claims of violation of the Articles of Incorporation and accounting standards were “groundless.”
In response, the Korean Administrative Society issued an official statement on the 26th, stating, "The regular general meeting of members scheduled for February 27, 2026, was lawfully convened in accordance with Article 20 of the Articles of Incorporation." The claim of violation of the Articles of Incorporation is untrue.
The association also provided a statement regarding the "written resolution" of the board of directors. According to Article 47, Paragraph 2 of the Articles of Incorporation, the financial statements must be audited, submitted to the board of directors, and then approved by the general meeting of members. The regular audit was completed on February 23, and the audit report was delivered to the secretariat around midnight on the 24th.
The association explained, "Convening a separate in-person board meeting prior to the regular general meeting was practically impossible," and "In accordance with Article 33, Paragraph 1 of the Articles of Incorporation, we adopted a written resolution for urgent matters."
Furthermore, the board added that the financial statements in question had already been deliberated and resolved at the 6th extraordinary board meeting on December 23, 2025, and that the directors were fully aware of the contents. The board unanimously approved the written resolution.
An official from the Korean Administrative Society pointed out, "It is inappropriate to describe the procedural measures taken to comply with the Articles of Incorporation as a 'lightning board meeting.'"
The association also refuted the allegations of violations of accounting standards. The Korean Administrative Society prepares its budget by section, category, item, and item based on the business plan in accordance with Article 9 of the "Regulations on Budget and Accounting," and requests an audit by an auditor pursuant to Article 27 of the same regulations.
The association explained, "The Korean Administrative Society prepares and executes its budget and financial statements in accordance with internal regulations and complies with relevant laws and general accounting standards."
He continued, "It is deeply regrettable that only a portion of the Secretary-General's remarks were quoted, omitting the intent of the statement, 'The budget and accounting rules will be compiled and executed.'"
In particular, the Korean Society of Administrative Officials emphasized that this regular general meeting was legally convened in accordance with the Articles of Incorporation and that preparations were being made in accordance with relevant procedures, having reported to the Ministry of the Interior and Safety, the supervisory authority.
He also stated, "It is untrue to interpret the opinions of some members as if they were universal or to suggest that 'great chaos is expected.'" He added, "The general meeting is being prepared normally in accordance with the Articles of Incorporation and regulations."
The Korean Society of Administrative Officials stated, "We will continue to operate transparently in accordance with the law and Articles of Incorporation."
