브레이크뉴스 정민우 기자= KT는 31일 서울 서초구 태봉로 KT연구개발센터에서 제44기 정기 주주총회를 열고, 박윤영 대표이사를 선임했다고 밝혔다.
박윤영 신임 대표이사는 1992년 한국통신(KT 전신)에 입사해 30여 년간 KT에서 근무한 ICT 분야 전문가다. 기업사업부문장 사장, 미래사업개발단장, Convergence연구소장 등을 역임하며 회사의 주요 사업과 기술 분야를 두루 경험해 왔다. 특히, 기업사업부문장 재임 시 B2B 사업 성장을 주도하며 KT의 핵심 성장축을 B2B로 확대하는 데 기여했다.
박윤영 신임 대표이사의 AX 역량과 성장 전략, 기업가치 제고를 위한 경영 의지가 KT의 미래 성장을 견인하는 데 기여할 것으로 기대된다.
이날 주주총회에서는 대표이사 선임을 비롯해 △재무제표 승인 △정관 일부 변경 △사내·사외이사 선임 등 총 9개 의결 안건이 상정됐으며, 모두 원안대로 처리됐다.
2025년 연결 재무제표는 연간 매출 28조2442억원, 영업이익 2조4691억원으로 승인됐다. 4분기 주당 배당금은 600원으로 확정됐다. 오는 4월 15일 지급될 예정이다.
KT는 기업가치 제고 계획(밸류업 프로그램)에 따라 자사주 매입 및 소각을 추진해 왔으며, 올해 9월까지 약 2500억원 규모의 자사주 매입을 진행할 계획이다. 최근 상법 개정 취지와 기업가치 제고 계획에 따라 ‘자기주식 보유 및 처분 승인 계획’을 의결 안건으로 상정했다. 이를 통해 자기주식 보유 및 처분에 대한 의사결정 절차의 투명성을 강화했다.
사내이사로는 박현진 이사가 선임됐다. 박 신임 이사는 KT밀리의서재 및 KT지니뮤직 대표이사, KT Customer전략본부장, 5G사업본부장 등을 역임하며 통신과 미디어 분야에서 폭넓은 사업 경험을 쌓아 왔다.
사외이사로는 김영한(현 숭실대학교 전자정보공학부 교수) 이사가 선임됐으며, 감사위원회 위원이 되는 사외이사로는 권명숙(전 인텔코리아 대표이사), 서진석(현 OCI홀딩스·부광약품 비상근 고문) 이사가 선임됐다.
한편, KT는 주주와의 소통을 강화하기 위해 지난해에 이어 올해도 사전 신청 주주를 대상으로 주주총회 온라인 생중계를 실시했다.
KT는 2027년 정기주주총회부터 주주가 총회 장소에 직접 참석하지 않더라도 온라인을 통해 실시간으로 주주총회에 참여하고 의결권을 행사할 수 있는 전자주주총회를 도입할 예정이다.
