아시아나항공은 25일 강서구 오쇠동 본사에서 임시 주주총회를 열고 에어인천과의 화물기사업 분할합병 계약 안건을 원안대로 가결했다. 찬성률은 99.93%다.
아시아나항공은 지난 1월 16일 에어인천과 화물기사업 분할합병 계약을 체결하였으며 매각 대금은 4700억원이다. 이번 안건은 대한항공과의 기업결합에 대한 유럽 집행위원회와 일본 공정거래위원회의 승인 조건으로, 신주인수거래가 종결됨에 따라 이뤄졌다.
유럽 집행위원회는 작년 2월 기업결합을 조건부로 승인하면서 대한항공의 유럽 여객 노선(파리·로마·프랑크푸르트·바르셀로나)의 양도와 아시아나항공 화물기사업 매각을 요구했다.
이에 유럽 여객 노선은 티웨이항공에 양도되고, 화물기사업은 에어인천으로 매각이 결정됐다. 이번 임시주총 가결을 통해 아시아나항공 화물기사업 분할합병의 형식적 절차는 마무리된다.
아시아나항공은 오는 6월 10일까지 화물기사업부의 에어인천 물적, 인적 이관 작업을 마무리할 계획이다. 이관 대상은 보잉747 화물기 10대와 보잉 767 화물기 1대 총 11대의 화물기와 약 800명의 직원이다.
아시아나항공은 2023년 말부터 직원들을 대상으로 전사 타운홀 미팅, 직종별 간담회를 통해 화물사업 매각 배경과 진행상황, 향후 절차 등에 대한 설명을 순차적으로 진행해 왔으며, 향후에도 지속적으로 이전 대상 직원들에게 설명회를 진행할 예정이다.
